Public Company Filing Requirements for the US
Public companies in the U.S. must file a number of forms with the Securities and Exchange Commission (SEC).
First, note that not all public companies have the same reporting requirements. Smaller public companies are required to make fewer disclosures, emerging market companies can make scaled disclosures, and foreign private issuers file different forms (e.g., a 20-F instead of a 10-K).
But here are the main filings required of public companies in the United States:
-Form 10-K is an annual filing that must be filed within 90 days of the company's fiscal year-end
-Form 10-Q is a quarterly filing that must be filed within 35 days of the end of the first, second, and third quarters
-Form 8-K m...

How Long Does the IRS Have to Collect Money?
Просмотров 387День назад
The IRS can't come after a taxpayer for unpaid taxes forever. Once a tax deficiency has been assessed, the IRS has ten years from the date of the assessment to collect the tax, penalties, and/or interest per Section 6502 of the tax code. This time period is called the Collection Statute Expiration Date (CSED) and it can be extended if the taxpayer agrees to an installment agreement or if the IR...
How Long Does the IRS Have to Find You?
Просмотров 52314 дней назад
The IRS generally can't come after taxpayers indefinitely to audit tax returns from prior years. Per Section 6501 of the tax code, the IRS has 3 years from the later of (1) the filing of a tax return or (2) the unextended due date of the tax return to assess a tax deficiency. However, if the taxpayer omitted gross income that exceeds 25% of the gross income reported, the statute of limitations ...
Comparing After-tax Rates of Return on Investments
Просмотров 543Месяц назад
Not all types of income are taxed at the same rate; income from certain investments is taxed at a preferential rate. Thus, when comparing investments, it's important to consider the after-tax return of the investment instead of simply looking at the before-tax return. The after-tax return is calculated as follows: after-tax return = before-tax return x (1 - marginal tax rate) For example, let's...
Effective Tax Rate vs Average Tax Rate
Просмотров 622Месяц назад
The average tax rate is calculated by dividing the total tax by taxable income: average tax rate = total tax / taxable income The effective tax rate, on the other hand, is calculated by dividing the total tax by TOTAL income, with total income including both taxable and nontaxable income: effective tax rate = total tax / total income The effective tax rate will be lower than the average tax rat...
Accounting for Transaction Processing Fees
Просмотров 686Месяц назад
When a company accepts payment by credit card, the company incurs a transaction processing fee from a payment processing network (Visa, MasterCard, etc.). Thus, if a customer makes a $100 purchase, the company won't receive the full $100 due to the transaction processing fee. Transaction processing fees (aka credit card fees or payment processing fees) are an operating expense and not a reducti...
Where to Find Dividends in the Financial Statements

When a company issues dividends, where will the dividends appear in the company's financial statements? -Dividends DECLARED will appear in the statement of stockholders' equity, because this statement shows changes in stockholders' equity accounts and dividends declared reduce retained earnings, which is a stockholders' equity account -Dividends PAID will appear as a cash outflow in the financi...
Journal Entry for Loan
Просмотров 1,3 тыс.2 месяца назад
When a company borrows money by taking out a loan, the borrower debits the cash account (an asset) and credits either loan payable or note payable (a liability). The lender would debit loan receivable and credit the cash account. When interest is accrued on the loan, the borrower must record interest expense and credit interest payable (or credit the cash account if the interest is paid immedia...
When you get Dividends from Stocks
Просмотров 7262 месяца назад
There are multiple dates involved with dividends: the declaration date, the ex-dividend date, the record date, and the payment date. So when do you need to own the shares to be entitled to a dividend? And when do you actually receive the dividend? To be entitled to a dividend, you must own the shares when the markets close the business day BEFORE the ex-dividend date. The ex-dividend date is th...
How to Value Dividend Stocks
Просмотров 8792 месяца назад
Companies that have a long history of paying dividends can be valued using dividends-based valuation. The dividend discount model (DDM) estimates the intrinsic value of a company's common equity as the sum of all future dividends, discounted to their present value. The resulting figure is then divided by the number of common shares outstanding to obtain the estimated value of the company's comm...
Interest Received Journal Entry
Просмотров 1,2 тыс.2 месяца назад
A company might receive interest from making a loan, purchasing an interest-bearing investment, or from having an interest-bearing bank account. In each situation, the company must (1) record interest revenue when interest is earned and (2) increase the cash account when interest is received. If the interest is earned and cash is received at the same time, then the company can simply debit the ...
Journal Entry for Late Payment Fees
Просмотров 8033 месяца назад
What happens when a company incurs a late payment fee for failing to pay a bill on time? It depends on the situation. For example, let's say a company purchased $100 of inventory on credit, and the company debited its Inventory account for $100 and credited Accounts Payable for $100 when it received the inventory. Later, if the company fails to pay its bill on time and incurs a late payment cha...
How to Reverse Engineer a Company's Share Price
Просмотров 1,7 тыс.3 месяца назад
This video shows how to reverse engineer a company's share price using "Goal Seek" in Microsoft Excel. To "reverse engineer" a company's share price means to back out assumptions made by investors about the company's forecasted cash flows, growth rate, or cost of capital. For example, let's assume that you estimate the intrinsic per-share value of a company's equity using the Gordon Growth Mode...

Sir, Do banks have working capital? How does the concept of Working Capital apply to a bank? Is the Liquidity Coverage Ratio (LCR) the same as Current Ratio/Working Capital Ratio? It is difficult to calculate the working capital of a bank because a bank's balance sheet does not include typical current assets and liabilities.

Great video! One comment: it seems plausible that there could be an interaction between two or more of these variables. For example, it could be the case that due to the tax cut, a company changed its pricing strategy, which then affected its top line. However, the analysis result here seems to imply that, even if there had been no tax cut, revenue's share in the change in net income would have been the same, which I think is a bit of a logical leap. I would always at least check my conclusions against a company's 10-K if it's publicly listed.

I have a question. My son has a business that started in 2021 as a SM LLC. In 2024, he converted to an S-Corp for tax purposes (he is the sole owner still). My question is: how do I calculate the starting basis for him for 2024? He has made money each of the 3 years and has no debt. He also started his business with some personal equipment that is still in use. Does the basis start at $0 in 2024? or do I account for what he contributed and made in the previous 3 years? thank you.
